1. Services
QUELDEN SUPPLY LLC ("QUELDEN SUPPLY") provides professional services as described in individually executed Statements of Work ("SOW"). These Terms of Service govern use of the queldensupply.com website and form the general framework for client service engagements, supplemented by the specific terms of each executed SOW.
2. Intellectual Property
Upon full payment, clients receive a perpetual license to use, reproduce, and distribute research deliverables internally and in client-facing materials. QUELDEN SUPPLY retains ownership of underlying methodologies, survey instruments, panel infrastructure, and analytic frameworks. Neither party may represent deliverables as produced by the other party without written consent.
3. Confidentiality
Both parties agree to maintain the confidentiality of the other party's proprietary information for a period of three years from disclosure. Client research briefs, business questions, and deliverables are treated as client confidential. QUELDEN SUPPLY's panel composition, proprietary scoring methodologies, and client lists are treated as QUELDEN SUPPLY confidential.
4. Supply Chain Solutions Terms
Licensed data assets (B2B contact files, intent signal feeds, custom lead lists) are provided for use in the client's own sales and marketing programs. Resale, sublicensing, or redistribution of licensed data to third parties is prohibited without a separately executed data redistribution agreement. Usage must comply with applicable law including CCPA, CAN-SPAM, and TCPA.
5. Limitation of Liability
QUELDEN SUPPLY's liability for any claim arising under a research engagement is limited to the fees paid for that specific engagement. We are not liable for business decisions made on the basis of research findings, market forecasts, lead data outcomes, or any consequential, incidental, or punitive damages.
6. Governing Law
These Terms and all service agreements are governed by the laws of the State of Mississippi. Disputes arising under these Terms shall be resolved in the state or federal courts of Lafayette County, Mississippi.
